Terms and Conditions of Membership

The below terms and conditions comprise a binding agreement between you, the member, and Every Door Productions, Inc., the proprietor of the ssspread.com web site. You must agree to these terms and conditions in order to be entitled to the benefits of membership. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY:

1. YOUR CERTIFICATION TO SSSPREAD.COM: By indicating your assent to the terms and conditions of this membership agreement, you hereby certify under penalty of perjury to Every Door Productions, Inc. as follows:

   1. You do not find images, or audio or written representations, of nude adults, or adults engaged in sexual acts or situations (including gay, lesbian, bisexual, transgendered, queer, dyke, straight, oral, anal, or between two or more members of the opposite or same sex, or depictions of sadism, masochism, bondage, or dominance and submission), or other sexual material, to be offensive or objectionable;

   2. You are at least 21 years of age, have the legal right to possess erotic adult material in your community, and are in all respects qualified and competent to enter into this Agreement;

   3. You are familiar with and understand the standards and laws regarding sexually explicit images and materials applicable to the community in which you are viewing the contents of the ssspread web site, and are solely responsible for your actions;

   4. All ssspread web site contents that you view are for your own personal use, will not be reused in any manner, and will not be made available to any minor.

   5. If you use the services of Every Door Productions, Inc. in violation of the ssspread Terms and Conditions of Membership, you understand you may be in violation of local and federal laws, and your ssspread membership may be suspended or terminated;

   6. Your interest in the contents of the ssspread web site is personal, and not professional, and you do not work for law-enforcement, a media outlet, or another online club similar to ssspread.

2. MANNER OF INDICATING CONSENT. Your consent to be bound by these terms and conditions shall be indicated by clicking on the "I Accept" button on the membership registration form.

3. CHANGES IN TERMS AND CONDITIONS. Every Door Productions, Inc. may change the Terms and Conditions of your membership at any time, and any such changes shall be effective upon notice to you. If you do not wish to consent to any changes you must promptly give Every Door Productions, Inc. notice of cancellation of your membership.

4. MEMBERSHIP FEES AND CHARGES. You agree to pay Every Door Productions, Inc. the following membership fees and charges:

1. Regular memberships in ssspread are offered at monthly fee rates. Monthly and any less-than-monthly rates or other special offer rates, if offered, are not refundable on early cancellation. If you select quarterly or yearly membership rates, upon any cancellation of your membership by you, or by Every Door Productions, Inc. without cause, prior to expiration of its term, you will receive a partial refund, provided, however, that your membership fee will be recalculated at the monthly rate for the period of time since you commenced or last renewed your membership, whichever last occurred, with only the difference between that recalculated rate and the fee amount actually paid by you to be refunded by Every Door Productions, Inc. Refunds, at Every Door Productions, Inc. and/or iBill's election, may be by a credit to your credit card account provided to Every Door Productions, Inc. or by a check mailed to your address contained in Every Door Productions, Inc. and/or iBill's records.

2. If Every Door Productions, Inc. provides enhanced content, merchandise or other services that require additional fees or charges, you agree to be solely responsible for paying those fees and charges. Every Door Productions, Inc. agrees to label merchandise offers or portions of the web site that require you to pay an additional fee or charge with a notice to that effect.

3. ssspread membership fees are automatically renewed at the end of the member's original membership term and each term thereafter, for a like period of time, unless a cancellation notice from the member is received seven (7) days or more prior to expiration of the current term. Any less-than-monthly or special trial offer memberships shall be renewed at the regular monthly rate upon expiration of the less-than-monthly or other special trial offer rate period, unless you give notice of cancellation at least three (3) days prior to expiration of the term. Unless you timely cancel your membership, you authorize Every Door Productions, Inc. and/or iBill to charge the membership renewal fee to your credit card account provided to Every Door Productions, Inc.

4. You are personally liable for all membership fees and other charges incurred by you arising out of your membership in ssspread. You hereby authorize Every Door Productions, Inc. and/or iBill to charge all membership fees and other charges incurred by you to the credit card account that you have provided to us, if you have elected that billing option as part of your membership registration. If we have offered you the option of having your membership fees and other charges billed to your telephone account, and you have elected that option as part of your membership registration, you hereby authorize us to bill your telephone service provider on your account. In the event of payment by check or money order, your membership will commence after Every Door Productions, Inc. receives your payment; renewal payments must be received prior to expiration of the existing rate term. You agree to provide iBill , with a new credit card account number in the event of any cancellation or termination of the credit card account you have previously provided to iBill or any "decline" or other refusal of membership fees or other charges billed by iBill to your credit card account. Upon your providing iBill with any new or substitute credit card account number, you thereby authorize Every Door Productions, Inc. and/or iBill to bill all due and unpaid membership fees and other charges incurred by you to that credit card account.

5. Every Door Productions, Inc. may cancel your membership at any time, with or without cause, upon notice to you. "Cause" shall mean, without limitation, a breach by you of any of the terms and provisions of this membership agreement. In the event of a termination of your membership by Every Door Productions, Inc. for cause, you shall destroy any contents of the ssspread web site downloaded, printed or otherwise obtained by you.

5. ACCESS TO THE WEBSITE. You are responsible for providing all personal computer and communications equipment necessary to gain access to and use the ssspread web site. Access to and use of the ssspread web site is through a combination of username and a password. REMEMBER YOUR PASSWORD! For security reasons, we will not release your password unless you are able to provide us with information sufficient for us to confirm your identity, based on the information you have provided to us at registration, except as may be specifically required by law or court order. Each member must keep his or her password strictly confidential. You agree not to share, transfer or sell your username or password used to access ssspread to any other person or entity. It is your responsibility to promptly notify Every Door Productions, Inc. of any loss, theft, or unauthorized disclosure or use of your username or password. Until Every Door Production, Inc. is notified of any such loss, theft or unauthorized disclosure, you will remain liable for the consequences of any resulting access to or use of the ssspread web site.

6. LIMITED LICENSE. During the term of your membership in ssspread, you are hereby granted a single copy license to view (on any stand alone, non-networked computer owned by you only) any of the contents displayed on the ssspread web site for your personal, private, and non-commercial use only. The following uses of the ssspread web site contents is prohibited: i) downloading or printing any of the ssspread web site contents for later use; ii) any modification, use in any public display, performance, sale, license or rental of the same; iii) removal or alteration of any copyright or other proprietary notice or trademark therefrom; and iv) any transfer or display of such contents to any other person or entity. The contents of the ssspread web site are for the private, non-commercial use and enjoyment of members only; any other use is prohibited. Every Door Productions, Inc. reserves the right to terminate this license at any time if you breach or violate any provision of this membership agreement, in which case you will be obligated to immediately destroy any information or materials you have downloaded, printed or otherwise copied from this site. Every Door Productions, Inc. reserves all other rights coincident or related to this site.

7. TRADEMARKS. "ssspread" is a service mark and trademark of Every Door Productions, Inc., and may be used publicly only with the express written permission of Every Door Productions, Inc.. Other trademarks and service marks featured on the ssspread web site are displayed pursuant to licenses obtained from the owners and/or holders of those trademarks and service marks, and may not be used publicly without the express written consent of the owners and/or holders of such trademarks and service marks.

8. COPYRIGHTS. Except for public domain material and electronic messages, all materials on the ssspread web site are protected by federal copyright laws and are protected under treaty provisions and worldwide copyright laws. Materials contained in any part of the ssspread web site may not be reproduced, copied, edited, published, transmitted or uploaded in any way without the written permission of Every Door Productions, Inc.. Except as expressly stated in the Limited License provision of this membership agreement, Every Door Productions, Inc. does not grant any express or implied right to you under any of his trademarks, service marks, copyrights or other proprietary information.

9. ACCEPTABLE USE. A portion of the ssspread web site is or may be maintained for "chat" entertainment purposes only. A portion of the ssspread web site is or may be maintained for posting of membership "bulletin board" message purposes only. Although Every Door Productions, Inc. is unable to control third party content of these portions of the ssspread web site, it is Every Door Productions, Inc. policy to prohibit members or other users from posting infringing, defamatory, libelous, obscene or otherwise unlawful material, or any material deemed by Every Door Productions, Inc. to be excessively violent, racially offensive, harassing or otherwise objectionable. Any transmission or distribution by you through use of the ssspread web site of any material that violates any federal, state, local, or international law, is prohibited and is a breach of this membership agreement. You agree not to post any prohibited or unlawful material on any part of the ssspread web site and agree to indemnify and defend Every Door Productions, Inc. and its representatives for any claims or suits, whether civil, criminal or otherwise, arising from your use of this site. Members shall not disseminate advertisements or otherwise solicit other members to buy or sell any products or services through ssspread without the prior written consent of Every Door Productions, Inc. Members shall not use the ssspread web site to run Maillist, Listserv, or any form of auto-responder. Processes that run or are activated while the member is not logged on are prohibited. Continued harassment of any kind directed towards Every Door Productions, Inc., the ssspread web site, or other individuals on the Internet after being asked to stop by those individuals or Every Door Productions, Inc. is prohibited. Every Door Productions, Inc. reserves the right to monitor and delete any postings deemed inconsistent with the policies described herein. If you are aware of any such material posted on this site, please notify Every Door Productions, Inc. at the address for notices set forth in this membership agreement. Please provide as much detail as possible, including a copy of the offending or infringing information or material, the location where Every Door Productions, Inc. or its representatives may find the offending or infringing information or material, the reasons(s) such postings should be removed and a statement, signed under penalty of perjury, certifying the accuracy of the information provided to Every Door Productions, Inc. To the extent any notice is based on an alleged copyright or trademark violation, please provide copies of applicable state or federal registration certificates. Every Door Productions, Inc. and its representatives may monitor content online, but in no event do they assume any particular obligation to do so or liability for failing to remove specific content.

10. COMMUNICATIONS NOT PRIVATE. Every Door Productions, Inc. does not provide any facility for sending or receiving private or confidential electronic communications. All messages transmitted to Every Door Productions, Inc. shall be deemed to be readily accessible to the general public. Members or other users should not use ssspread to transmit any communication for which the sender intends only the sender and the intended recipient(s) to read. Notice is hereby given that all messages entered into ssspread can and may be read by the operators of the ssspread web site, regardless of whether or not the operators are the intended recipients of such messages.

11. DISCLAIMER / LIMITATION OF LIABLITY.
    THE MATERIALS ON EVERY DOOR PRODUCTIONS, INC. SSSPREAD WEB SITE ARE PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR FITNESS FOR A PARTICULAR PURPOSE. EVERY DOOR PRODUCTIONS, INC. OFFERS NO WARRANTY OR OTHER ASSURANCE OF UNINTERRUPTED OR ERROR FREE SERVICE. EVERY DOOR PRODUCTIONS, INC. DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION, TEXT, GRAPHICS, LINKS OR OTHER ITEMS CONTAINED ON THIS WEB SITE. EVERY DOOR PRODUCTIONS, INC. MAY CHANGE ANY OF THE INFORMATION FOUND AT THIS SITE AT ANY TIME WITHOUT NOTICE. EVERY DOOR PRODUCTIONS, INC. MAKES NO COMMITMENT TO UPDATE THE INFORMATION FOUND AT THIS SITE. IN NO EVENT SHALL EVERY DOOR PRODUCTIONS, INC. HAS BEEN ADVISED OF SUCH DAMAGES. ANY LIABILITY OF EVERY DOOR PRODUCTIONS, INC., INCLUDING, WITHOUT LIMITATION, ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMMUNICATIONS LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORDS, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OR ACTION, SHALL BE STRICTLY LIMITED TO THE AMOUNT PAID BY OR ON BEHALF OF THE MEMBER TO EVERY DOOR PRODUCTIONS, INC. DURING THE 12 MONTHS PRECEDING THE DATE OF THE INCIDENT GIVING RISE TO LIABILITY. (BECAUSE SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.)

12. MEMBERSHIP RECORDS. You agree to: a) promptly inform Every Door Productions, Inc. of any changes in your home or billing address; b) at all times during your membership provide Every Door Productions, Inc. with a current, valid credit card account number held in your name and billed to the home or billing address that you have provided to Every Door Productions, Inc., with a sufficient unused credit limit to accept charges for your membership fees and all other fees and charges arising out of your use of the ssspread web site; and c) on demand, provide Every Door Productions, Inc. with documentation verifying that you are 21 years of age or older, such as a true and accurate copy of a driver's license, state photo identification card or passport.

13. PRIVACY POLICY.

1. Every Door Productions, Inc. gathers member names, addresses and telephone numbers for billing purposes. Every Door Productions, Inc. gathers member electronic mail addresses for notification purposes. As the ssspread web site grows, Every Door Productions, Inc. may offer promotions or third party offers. You may click a check box in the registration form or contact Every Door Productions, Inc. at any time if you do not wish to receive such promotions or offers.

2. Every Door Productions, Inc. may ask for demographic information of our members so that we may better assess the makeup of our membership. This information helps Every Door Productions, Inc. develop this site to better suit the needs of our members. Provision of this information by members is always optional.

3. Every Door Productions, Inc. will not, without your consent, voluntarily disclose or transfer your name, address, telephone number, electronic mail address or other information that would specifically identify you to any third party, except when ordered or compelled to do pursuant to a subpoena, warrant, court order or other law or legal process, on advice of our legal counsel, or as may be necessary to investigate any actual or possible breach by you of the terms or provisions of this membership agreement. You consent to disclosure of your name, address, and electronic mail address to third parties unless you have specifically instructed us not to make such disclosures in your membership registra6tion form or by notice sent to use pursuant to Section 14 of these terms and conditions.

4. Every Door Productions, Inc. will make a good faith effort to prevent any involuntary (e.g., loss, theft, hacker penetration of Every Door Productions, Inc. ssspread web site or computer equipment) or other unauthorized disclosure to third parties of your name, address, telephone number, electronic mail address or other information that would specifically identify you to any third party.

14. NO ASSIGNMENT. Your membership in ssspread may not be assigned or transferred to any other person or entity.

15. NOTICES. Notices by Every Door Productions, Inc. to members may be given by means of electronic messages, by a general posting on the ssspread web site, or by conventional mail. Notices by members may be given to Every Door Productions, Inc. by electronic messages or conventional mail, unless otherwise specified in this membership agreement, as follows:

16. JURISDICTION AND VENUE. The ssspread web site is controlled and operated by Every Door Productions, Inc. and its representatives from their offices in Chicago, Illinois, United States of America. Every Door Productions, Inc. makes no representation that the materials available on this site are appropriate or available for use in other locations, and access to them from jurisdictions where their contents are or may be illegal (e.g., Alabama, Arkansas, Florida, Georgia, Kansas (except Kansas City), Kentucky, Michigan (except Detroit), Minnesota, Missouri (except St. Louis), Mississippi, North Carolina, Ohio (except Cleveland and Cincinnati), Oklahoma, Pennsylvania (except Philadelphia and Pittsburgh), South Carolina, Tennessee, Utah, Afghanistan, Kuwait, Iran, Iraq, Japan, Jordan, Libya, Pakistan, Singapore, Saudi Arabia, Syria, and The United Arab Emirates) is prohibited. The terms and provisions of this membership agreement are to be governed and construed by Illinois law. In the event of a dispute arising out of or relating to this membership agreement or your use of or access to the ssspread web site, litigation must be brought in state or federal court in the City of Chicago, Illinois.

17. MISCELLANEOUS PROVISIONS. This Agreement contains the entire agreement between you and Every Door Productions, Inc. regarding access to and use of the ssspread web site, and supersedes all prior written and oral understandings and writings, and may only be amended upon notice by Every Door Productions, Inc. to you. Unless otherwise explicitly stated, the provisions of this membership agreement shall survive its termination. In the event that any term or provision of this membership agreement is determined to be unenforceable by a court of competent jurisdiction, the unenforceable provision shall be deemed severed out and the balance of the agreement shall remain fully enforceable.
